I understand that as a Network Affiliate and/or Independent Affiliate (both to be referred as “Affiliate”):

I have the right to offer for sale Allife Network products and services in accordance with these Terms and Conditions.

I have the right to enroll persons into Allife Network Affiliate programs. However,I acknowledge that I am not required to sponsor or enroll persons into the Affiliate programs.

I have the right to earn commission pursuant to the Allife Network Compensation Plan.

I am of legal age in the state in which I reside. I agree that as an Allife Affiliate I am an Independent Contractor, and not an employee, partner, legal representative or franchisee of Allife Network. I will not represent in any manner that I am an agent or employee of Allife Network. I am responsible for determining my own business activities without direction or control by Allife Network. I agree that I will be solely responsible for paying all expenses incurred by myself, including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other expenses. I am not entitled to worker’s compensation, unemployment benefits, or any other employment type benefit from Allife Network or by virtue of my Affiliate status with Allife Network. I UNDERSTAND THAT I SHALL NOT BE TREATED AS AN EMPLOYEE OF Allife Network FOR ANY PURPOSE.

I have carefully read and agree to comply with the Allife Network Policies and Procedures and the Allife Network Compensation Plan, both of which are incorporated into and made a part of theses Terms and Conditions (these three documents will be referred as the “Agreement”). I understand that I must be in good standing, and not in violation of the Agreement, to be eligible for commissions, bonuses or royalties from Allife Network. I understand that Allife Network reserves the right to amend, revise, institute, alter, or modify changes including but not limited to prices, literature, policies, these Terms & Conditions, Policies & Procedures and Allife Network Compensation Plan at the sole discretion of Allife Network, and I agree to abide by all such amendments. Notification of Amendments will be posted on the Allife Network website and/ or emailed to Affiliates and/or any other forms written communication. Any such revisions become effective and binding upon publication on the official Allife Network website or other official Allife Marketing publication. Affiliates agree to be bound by these changes. The continuation of my Allife Network Affiliate status or my acceptance of bonuses or commissions shall constitute my acceptance of any and all amendments.

I agree to present the Allife Network Compensation Plan and products and services as set forth in official Allife Network literature.

Allife Network retains full authority to accept or reject, for any reason, any application of any person to become an Affiliate. Allife Network retains full authority, for any reason, to accept or reject any order for products. Such refusal is solely within the discretion of Allife Network. No rights of legal actions against Allife Network will arise because of any such acceptance or refusal.

I am responsible for the payment of all federal and state self-employment taxes and any other tax required under any federal, state or regulatory agency. The initial one time initial fee to become a Network Allife is $80.00 and the annual fee to be an Independent Affiliate is $50.00. I understand and agree to pay a monthly fee of $10.00. I have and will pay all license fees personally and no other Affiliate or representative will pay for my initial, annual or monthly fees.

Allife Affiliates are authorized to act on behalf of the Allife Network and shall receive Allife Network’s own personalized website created and hosted by Allife Network. An Allife Affiliate shall not use the Allife Network trade or service names, marks and logos of Allife or its affiliated companies in any customer gathering or other advertising or promotional materials or in the name of their Allife subsidiary company. An Affiliate shall use their best efforts to market Allife products and shall at all times act professionally and in the best interest of the company.

The position of an Affiliate does not constitute the sale of a franchise and no fee, charge or required purchase for participation as an Affiliate has been required of me for participation as a Affiliate.

I agree that as an Allife Affiliate I shall place emphasis upon the sale of Allife Network products and services to non-Affiliate ultimate consumers. Affiliates who reside in the states of Maine, North Dakota, Michigan, Indiana, Iowa, and West Virginia are limited to $495.00 in purchases as a Affiliate of the Company, during the first six months of Affiliate status. Permissible Affiliate purchases shall be automatically modified to comply with the exemption requirements set forth in any states laws regulating business opportunities.

An Allife Affiliate is responsible for determining their own customer gathering and product selling methods. However, in presenting Allife Network products, services, marketing plan and the Affiliate position to prospects, I agree that such presentations shall strictly adhere to company policy and that I will be terminated as a Affiliate if I fail to do so.

Retail sales records shall be maintained by the Affiliate and are subject to review and verification upon Company request.

I understand that no attorney general or other regulatory authority ever reviews, endorses or approves any product, compensation program or company, and I will make no such claim to others.

This agreement shall be deemed in effect upon its receipt and acceptance by Allife Network.

The Agreement, in its current form and as amended by Allife Network at its discretion, constitutes the entire contract between Allife Network and myself. Any promises, representations, offers or other communications not expressly set in the Agreement are of no force of effect.

I will not make any disparaging, false, or misleading statements about the Allife Network or company products, including but not limited to claims that Company products diagnose, cure, or prevent disease. Display of commission checks, the making of income projections and use of Affiliate income testimonials to prospective Affiliates is prohibited. I will conduct myself as an Affiliate in a courteous, fair and ethical manner.

Affiliate and customer lists and names are owned by the Company and may never be used for any commercial or business purpose without prior written consent of Allife Network. During the term of this agreement and for 120 days thereafter, the Affiliate shall not, directly or indirectly solicit Affiliates or customers of Allife Network to other network organizations.

This agreement is governed under the laws of the state of Delaware. The parties agree that any claim, dispute or other difference between them shall be exclusively resolved by binding arbitration pursuant to the Commercial Rules of the American Arbitration Association with arbitration to occur in the State of Delaware.

If any Affliate wishes to bring any legal action against Allife Network for any act or omission relating to or arising from the Agreement, such action must be brought within one year from the date of the alleged conduct giving rise to the cause of action. Failure to bring such action within such time shall bar all claims against Allife Network for such act or omission. Affiliate waives all claims that any other statues of limitations apply.
